// THE FUNDING PROCESS
What Vault is, how escrow holds money, the goals that govern outcomes, and what it costs.
What Vault Is / Is Not
Vault is a decentralized crowdfunding and escrow platform built on Solana. Smart contracts hold contributor funds in escrow until a campaign’s on-chain outcome is determined, then release or return those funds according to fixed protocol rules. Vault operates a service-fulfillment model: on success, Vault uses escrowed funds to fulfill the campaign’s stated purpose on behalf of contributors - funds are not handed to the campaign creator.
Vault is not a financial institution, bank, broker, investment adviser, or exchange. It does not provide financial, legal, or tax advice and does not guarantee the performance, completion, legality, or value of any campaign, project, token, charity, or creator.
Wallet-Based Access
Vault uses Solana wallet-based authentication - no passwords or traditional accounts. You are solely responsible for your wallet security and private keys. Vault cannot recover lost keys, reverse unauthorized transactions, or restore lost funds. By connecting a wallet, you represent you have legal authority to operate it and that doing so complies with applicable law.
Campaign Goals & Deadlines
Each campaign has a funding goal and a contribution deadline, both recorded on-chain at creation and immutable thereafter. The campaign’s outcome is determined solely by on-chain state at or after the deadline. No privileged actor controls whether a campaign advances.
Contributions (SOL Only)
Vault accepts only SOL. The minimum contribution is 0.001 SOL as enforced on-chain. A contribution fee of 0.03% applies at deposit. Sending any other asset - SPL tokens, NFTs, or assets from other blockchains - to a campaign escrow address is not supported and may result in irrecoverable loss (see Unsupported Assets).
On-Chain Escrow
All contributions are held in a campaign-specific escrow account on Solana. No individual - including Vault, the creator, or any other party - holds a private key controlling that account. Funds can only move through the on-chain program according to the campaign’s state machine. Vault may cancel a campaign into a refunding state; Vault cannot redirect escrow funds to itself or any unauthorized party.
Fees
Vault charges a contribution fee of 0.03% at deposit and a refund processing fee of 2% (capped at roughly $20 per contributor). Fee rates are set at campaign creation, locked per-campaign, and cannot change retroactively. Standard Solana network transaction fees are paid to validators, not Vault. Multichain Project Representation
Campaigns may display project or token identity metadata from other blockchain ecosystems (Ethereum, Base, BNB, Monad, and others). This is off-chain display data sourced from third-party providers - it has no on-chain counterpart on those chains. Every contribution is SOL on Solana; every settlement is a Solana transfer. Vault has no programs on any other chain, no bridge, and no custody of any non-SOL asset.
Unsupported Assets
Only SOL is supported. Sending SPL tokens, NFTs, or assets from any other blockchain to a campaign escrow address may result in permanent, irrecoverable loss. Vault cannot guarantee recovery of any non-SOL asset.

Creating a campaign, what success and failure mean, refunds, and special campaign types.
Campaign Creation
Campaign creators represent that all submitted information - purpose, description, token identity, charity affiliation, and media - is accurate and not misleading. Creators are responsible for the accuracy of what they publish and for cooperating with the campaign’s stated fulfillment method. Vault reserves the right to reject or cancel any campaign that violates these Terms.
Successful Campaigns & Fulfillment
A standard campaign succeeds when total escrowed SOL meets or exceeds its full funding goal by the deadline. A charity campaign succeeds at 20% of goal - see Charity Campaigns.
Reaching a campaign’s success conditions does not automatically transfer the campaign’s escrow balance to the campaign creator.
Successful campaign funds are used to fulfill the campaign’s stated purpose. Depending on the campaign, Vault may purchase or arrange the associated service or deliverable, direct funds to an identified beneficiary, or carry out another fulfillment method disclosed in the campaign. The specific fulfillment method applicable to a campaign should be reviewed before contributing.
Fulfillment may depend on third-party providers or other parties outside Vault’s direct control. Vault’s escrow protections govern the funding process and do not guarantee the performance, availability, quality, or future outcome of an external service, project, beneficiary, or provider.
Campaign Fulfillment
When a campaign succeeds, Vault purchases or arranges the service or deliverable described in the campaign on behalf of contributors. The campaign’s stated amount is Vault’s retail price; Vault’s margin is the difference between that price and its vendor cost. Vault makes reasonable efforts to fulfill but does not guarantee delivery in any specific timeframe. Third-party vendors involved in fulfillment are not under Vault’s control; Vault disclaims liability for failures attributable to them.
Unsuccessful Campaigns
A campaign fails when its escrowed total does not meet its threshold by the deadline, refunds are processed automatically once the campaign closes. Vault may also cancel a campaign, which similarly results in refunds being processed. A refund fee applies - see Refunds.
Refunds
Refunds are processed automatically once the campaign closes. Vault cannot prevent or delay a refund once a campaign enters a refunding state.
A refund processing fee of approximately 2% of refundable principal is deducted, capped at roughly $20 per contributor (locked at campaign creation). Contribution fees paid at deposit and any tips are non-refundable. You will not receive back 100% of your contribution. Full rates are on the fee schedule.
Charity Campaigns
Charity campaigns release funds when 20% of the goal is reached - even if the full goal was not met. Contributors to such a campaign are not eligible for refunds once 20% is reached. Only a charity campaign that finishes below 20% enters the refund path.
Charity campaigns skip the waiting period that applies to standard campaigns - funds may release at the deadline without delay once the threshold is met. Understand the funding policy before contributing to any campaign.
Custom Campaigns
Custom campaigns undergo an internal review before deployment. Approval does not constitute Vault’s endorsement of any claim. All other terms - escrow, refunds, fees, fulfillment - apply equally to custom campaigns.

What contributors owe Vault, the service limits around advice and guarantees, and permitted versus prohibited use.
Contributor Responsibilities
You are responsible for your own due diligence before contributing. Vault does not vet or endorse any campaign, creator, project, token, or charity. Contributing carries risk of partial or total loss.
Third-Party Services
Vault integrates with third-party services including blockchain infrastructure, data enrichment, and cloud hosting, each governed by their own terms. Token and project metadata displayed on Vault may be sourced from third-party providers; Vault does not verify or guarantee its accuracy and is not responsible for the actions or availability of any third-party service.
No Guarantee of Value or Success
Vault does not guarantee the legitimacy, performance, value, or success of any project, token, charity, or third-party service associated with a campaign. Vault’s escrow protects the funding process - not the project or its creator. A successfully funded campaign does not mean the associated project will succeed or maintain value. You accept all such risk.
No Financial, Legal, or Tax Advice
Nothing on Vault constitutes financial, investment, legal, or tax advice. You are solely responsible for evaluating the suitability of any contribution given your financial situation and risk tolerance. Consult qualified professionals.
Intellectual Property
All Vault brand assets, trademarks, logos, and platform design elements are the property of Vault’s operators. Usage without written permission is prohibited; see the brand guidelines. By submitting content you grant Vault a non-exclusive worldwide license to display and distribute that content in connection with the platform’s operation.
Prohibited Use
You may not use Vault to:
- Violate any applicable law or regulation
- Conduct fraud, market manipulation, or money laundering
- Circumvent sanctions or export control restrictions
- Misrepresent campaign purpose, project identity, or charitable affiliation
- Submit false or deceptive campaign content
- Interfere with Vault’s platform or smart contracts
- Exploit bugs or vulnerabilities in Vault’s programs
- Use automated systems to manipulate campaigns or contribution data
- Impersonate any person, organization, or project
Vault reserves the right to cancel campaigns, restrict access, or report activity to authorities if it reasonably suspects prohibited use.

Eligibility
You must be of legal age to enter contracts in your jurisdiction. By using Vault, you represent that you meet this requirement and that your use does not violate any applicable anti-money-laundering, sanctions, or financial services law.
Restricted Persons & Regions
Vault is not available to persons in certain jurisdictions or on applicable sanctions lists. The full policy is on the Restricted Regions page, which is the sole authoritative source. By using Vault you represent that you are not a restricted person and are not located in a restricted jurisdiction.
Changes to Terms
Vault may modify these Terms at any time. Material changes will be reflected in an updated effective date and, where practicable, by platform notice. Continued use after changes are published constitutes acceptance. These Terms cannot retroactively alter on-chain campaign parameters, which are immutable at creation.
Disclaimers
VAULT IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. VAULT’S PROGRAMS HAVE UNDERGONE INTERNAL REVIEW ONLY - NO THIRD-PARTY SECURITY AUDIT HAS BEEN COMPLETED. YOU INTERACT WITH THE PROTOCOL AT YOUR OWN RISK. VAULT DOES NOT WARRANT THAT THE PLATFORM WILL BE FREE OF ERRORS, BUGS, OR INTERRUPTIONS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULT AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES - INCLUDING LOSS OF FUNDS OR TOKENS - ARISING FROM YOUR USE OF VAULT. VAULT’S TOTAL LIABILITY SHALL NOT EXCEED FEES ACTUALLY PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
Governing Law & Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Dispute Resolution: Any dispute arising out of or relating to these Terms or your use of Vault will be resolved through final and binding arbitration on an individual basis rather than in court, except that either party may bring an individual claim in small claims court where permitted.
Arbitration will be conducted individually. You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
These Terms do not affect any rights you may have under mandatory provisions of your country of residence that cannot be excluded by contract.
